Services

Vitalevo provides Meta Ads management services for direct-to-consumer brands. Services are delivered across three tiers and may include:

• Meta Ads Management — campaign strategy, ad account structure, creative direction, audience targeting, performance monitoring, and reporting
• Conversion Readiness (CRO) — landing page analysis, website review, ad-to-page alignment, and conversion optimization recommendations
• Retention System — implementation and management of review, referral, loyalty, and subscription tools as part of the contracted package

Specific deliverables, reporting cadence, and performance baselines are defined in your signed Master Service Agreement and Baseline & Success Metrics Agreement.

Payment Terms

Services are billed on a monthly retainer basis, invoiced in advance at the start of each billing cycle.

• Payment is due within 7 days of invoice issuance
• Late payments may result in a pause of services after 14 days without payment
• All fees are denominated in USD
• Wire transfer fees and any applicable transaction costs are the responsibility of the client
• Pricing is locked for the term of the engagement and subject to change only upon 30 days written notice before the next billing cycle

Client Responsibilities

To enable Vitalevo to deliver contracted services, clients agree to:

• Provide admin or advertiser-level access to the Meta Business Manager and associated ad accounts within 5 business days of engagement start
• Approve or reject creative concepts and ad copy within 3 business days of submission — failure to respond is treated as approval to proceed
• Maintain sufficient ad spend budget in the Meta ad account to run active campaigns
• Provide brand assets, product information, and any other materials reasonably requested to fulfill the scope of work
• Designate a primary point of contact for communication and approvals
• Notify Vitalevo promptly of any material changes to the business, product line, or market that may affect campaign strategy

Vitalevo is not responsible for performance degradation resulting from client delays, withheld access, or failure to implement agreed-upon recommendations.

Performance & Results

Advertising results depend on many factors outside Vitalevo's direct control, including Meta's algorithm, market conditions, product-market fit, website performance, and ad spend levels. As such:

• Vitalevo does not guarantee specific outcomes including ROAS, revenue, or cost per acquisition
• Performance commitments, where applicable, are tied to baseline metrics documented in the signed Baseline & Success Metrics Agreement and are contingent on both parties fulfilling their responsibilities
• Projections provided in sales materials or calculators are illustrative estimates based on reasonable assumptions and do not constitute guarantees

Cancellation & Termination

By the client: Either party may terminate the engagement by providing 30 days written notice via email to the designated contact. During the notice period, Vitalevo will continue delivering services and the client remains responsible for the full monthly fee for that period.

By Vitalevo: Vitalevo reserves the right to terminate the engagement immediately and without penalty in the following circumstances:

• Non-payment of invoices after a 14-day grace period
• Client requests that violate Meta's advertising policies or applicable law
• Abusive conduct toward Vitalevo personnel
• Material misrepresentation of business information during onboarding

Upon termination:

• All outstanding invoices become immediately due
• Client retains full ownership of their Meta ad accounts, campaigns, and all associated data
• Vitalevo will remove its access from client accounts within 5 business days of termination
• No refunds are issued for fees already paid or for the active billing period in which termination occurs

Intellectual Property

Client assets: All brand assets, product images, copy, and business data provided by the client remain the exclusive property of the client.

Ad creative: Ad creative developed by Vitalevo specifically for the client's campaigns becomes the property of the client upon full payment of the relevant monthly invoice. Vitalevo retains the right to reference the engagement in portfolio or case study materials unless otherwise agreed in writing.

Vitalevo property: Proprietary frameworks, internal processes, reporting templates, and methodologies developed by Vitalevo remain Vitalevo's intellectual property and are not transferred through the engagement.

Confidentiality

Both parties agree to keep confidential any non-public business information shared in the course of the engagement, including but not limited to revenue figures, customer data, ad performance data, business strategies, and pricing information.

This obligation survives termination of the engagement for a period of 2 years. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Limitation of Liability

To the maximum extent permitted by applicable law, Vitalevo's total liability for any claim arising from or related to these Terms or the services shall not exceed the total fees paid by the client in the three months preceding the claim.

Vitalevo is not liable for:

• Indirect, incidental, or consequential damages including lost profits or revenue
• Ad account suspensions, policy violations, or actions taken by Meta
• Performance outcomes resulting from factors outside Vitalevo's control, including ad spend levels, market conditions, or client website issues
• Losses arising from client failure to fulfill their responsibilities under Section 03

Use of Website

By accessing vitalevo.co, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any systems or data
• Reproduce, distribute, or commercially exploit any content from the website without written permission
• Submit false or misleading information through any forms on the website

Vitalevo reserves the right to deny access to the website to any user at its discretion.

Governing Law & Disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the services provided shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Albuquerque, New Mexico, under the rules of the American Arbitration Association.

Changes to These Terms

Vitalevo reserves the right to update these Terms at any time. Updated Terms will be posted to this page with a revised "Last updated" date. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.

For active client engagements, material changes to Terms will be communicated via email with at least 30 days notice before taking effect.
